ERP Software Services Agreement
Effective Date: These terms are effective immediately upon acceptance
1. Agreement Overview
These Terms and Conditions ("Agreement") govern the provision of Enterprise Resource Planning (ERP) software services by GROUPZON ENTERPRISES ("Company," "we," "us," or "our") to the customer ("Client," "you," or "your"). By purchasing, accessing, or using our ERP services, you agree to be bound by these terms.

2. Service Description
Our ERP services include but are not limited to:
- Custom ERP software development and implementation
- Cloud-based ERP platform access and hosting
- System configuration, customization, and integration
- User training, documentation, and ongoing support
- Data migration and system maintenance services
- Mobile access and responsive web interfaces
- Business intelligence and reporting modules
3. Subscription Plans and Pricing
3.1 Service Plans
- Starter Plan: Basic ERP modules for small businesses
- Professional Plan: Advanced features with enhanced customization
- Enterprise Plan: Complete ERP suite with unlimited users
- Custom Solutions: Tailored ERP systems based on specific requirements
3.2 Pricing Structure
- Subscription fees are billed monthly, quarterly, or annually as selected
- Setup and implementation fees may apply for custom installations
- Additional charges for extra users, storage, or premium modules
- All prices are in Indian Rupees (INR) unless otherwise specified
4. Payment Terms
4.1 Payment Processing
- Payments are processed securely through Razorpay and other approved gateways
- We accept credit cards, debit cards, UPI, net banking, and digital wallets
- International payments are accepted subject to applicable fees and regulations
4.2 Billing Cycle
- Subscription fees are charged in advance for the selected billing period
- Auto-renewal applies unless cancelled before the renewal date
- Invoices are generated and sent via email within 24 hours of payment
5. Service Level Agreement (SLA)
Uptime Commitment
- 99.9% Uptime Guarantee: Less than 8.76 hours of downtime per year
- Planned Maintenance: Scheduled during off-peak hours with advance notice
- Emergency Support: 24/7 critical issue resolution
5.1 Support Response Times
- Critical Issues: Response within 2 hours, resolution within 24 hours
- High Priority: Response within 4 hours, resolution within 48 hours
- Standard Queries: Response within 24 hours, resolution within 72 hours
- General Support: Response within 48 hours during business days
6. Data Security and Privacy
6.1 Data Protection
- All customer data is encrypted using industry-standard SSL/TLS protocols
- Regular automated backups stored in multiple secure locations
- Compliance with applicable data protection regulations including GDPR principles
- Access controls and audit trails for all data processing activities
6.2 Data Ownership
- You retain full ownership and control of all data entered into the ERP system
- Data export functionality available in standard formats (CSV, Excel, PDF)
- Data deletion available upon request, subject to legal retention requirements
7. User Responsibilities
7.1 Account Security
- Maintain confidentiality of login credentials and access keys
- Implement strong password policies and enable two-factor authentication
- Promptly report any suspected security breaches or unauthorized access
7.2 Acceptable Use
- Use services only for legitimate business purposes
- Comply with all applicable laws and regulations
- Do not attempt to reverse engineer, modify, or distribute our software
- Respect intellectual property rights and licensing agreements
8. Intellectual Property
8.1 Software Licensing
- We grant you a non-exclusive, non-transferable license to use our ERP software
- License is valid only for the duration of your active subscription
- Custom developments become your property upon full payment
8.2 Proprietary Rights
- GROUPZON ENTERPRISES retains all rights to the core ERP platform and technology
- Third-party integrations are subject to their respective licensing terms
- Any improvements or enhancements to the platform remain our intellectual property
9. Limitation of Liability
9.1 Disclaimers
- Services are provided "as is" without warranties of any kind
- We do not guarantee uninterrupted or error-free operation
- Results and performance may vary based on implementation and usage
9.2 Exclusions
We shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data corruption or loss due to user error or system failures
- Third-party integrations or services beyond our control
10. Force Majeure
Neither party shall be liable for any delay or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, cyber attacks, or infrastructure failures by third-party providers.
11. Termination
11.1 Termination by Client
- You may terminate this agreement at any time with appropriate notice
- Access to services continues until the end of the current billing period
- Data export assistance provided for 30 days post-termination
11.2 Termination by Company
- We may terminate services for material breach of these terms
- 30-day notice provided for non-payment related terminations
- Immediate termination for illegal activities or security violations
12. Dispute Resolution
12.1 Governing Law
This agreement is governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of courts in Kolkata, West Bengal.
12.2 Resolution Process
- Direct Negotiation: Parties will first attempt to resolve disputes through good faith discussions
- Mediation: If direct negotiation fails, disputes will be referred to mediation
- Arbitration: Final disputes may be resolved through binding arbitration under Indian Arbitration Act
13. Updates and Modifications
- We reserve the right to update these terms with 7 days' advance notice
- Material changes will be communicated via email and dashboard notifications
- Continued use of services after changes constitutes acceptance of updated terms
- Clients may terminate services if they disagree with substantial changes

15. Acknowledgment
By purchasing, accessing, or using our ERP services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. This agreement constitutes the entire agreement between you and GROUPZON ENTERPRISES regarding the use of our services.
